General Terms and Conditions

§ 1 Scope of Application

(1) These General Terms and Conditions (GTC) apply to all contracts between Reents Technologies GmbH, Osterbrooksweg 71, 2nd Floor – Room 58, 22869 Schenefeld (hereinafter “Contractor”) and the Client for the provision of 3D printing services, 3D scanning services, CAD design and related services.

(2) Deviating terms and conditions of the Client are not recognised unless the Contractor expressly agrees to their validity in writing.

§ 2 Conclusion of Contract

(1) Offers by the Contractor are non-binding and without obligation. A contract is only concluded through the written order confirmation of the Contractor or through the execution of the service.

(2) The 3D data, drawings and specifications provided by the Client form part of the contract. The Client is responsible for the correctness and completeness of their specifications.

§ 3 Scope of Services

(1) The scope of services results from the order confirmation of the Contractor. Verbal subsidiary agreements require written confirmation.

(2) The Contractor selects the appropriate printing process and material to the best of their knowledge and belief, unless otherwise agreed. Technology-related deviations in dimensional accuracy, surface quality and colour are possible and do not constitute a defect, provided they fall within the usual tolerances.

§ 4 Prices and Payment Terms

(1) The prices agreed at the time of order confirmation apply. All prices are quoted exclusive of statutory VAT.

(2) Invoices are due within 14 days of invoicing without deduction, unless otherwise agreed.

(3) For orders exceeding EUR 500 net, a down payment of 50% may be agreed upon.

§ 5 Delivery Times

(1) Delivery dates are only binding if they have been expressly confirmed as binding by the Contractor.

(2) The delivery period begins upon receipt of the complete order data and any agreed down payment.

(3) Delays due to force majeure, material shortages or circumstances attributable to the Client extend the delivery period accordingly.

(1) Delivered parts remain the property of the Contractor until full payment has been received.

(2) The Client warrants that the 3D data and templates provided by them do not infringe the rights of third parties. The Client indemnifies the Contractor against all third-party claims based on an infringement of protective rights.

§ 7 Warranty

(1) The Client must inspect the goods immediately upon receipt and report recognisable defects in writing within 7 business days.

(2) In the case of justified defects, the Contractor has the right to rectification or replacement delivery. If rectification fails, the Client may demand a reduction or withdrawal.

§ 8 Liability

(1) The Contractor is liable without limitation for intent and gross negligence. For slight negligence, the Contractor is only liable in the event of a breach of essential contractual obligations, limited to the foreseeable, contract-typical damage.

(2) Liability for data loss is limited to the typical recovery effort that would have occurred if backup copies had been made regularly and in accordance with the risk.

§ 9 Confidentiality

(1) The Contractor undertakes to treat all documents, data and information provided by the Client as confidential and to use them only for the purposes of the respective order.

(2) At the Client’s request, all data will be completely deleted upon completion of the order.

§ 10 Final Provisions

(1) The law of the Federal Republic of Germany applies.

(2) The place of jurisdiction for all disputes arising from the contractual relationship is, to the extent permitted by law, Pinneberg.

(3) Should any provision of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
